[1IP-62] Termination of Relationship with Hardware Wallet

Simple Summary

This proposal seeks to terminate 1inch DAO’s contract with Mr. Alexey Devyatkin and Hardware Wallet Team, and receive the compensation of the 2 million USD funding (the “Funding”) provided to Mr. Devyatkin under the [1IP-30] 1inch Hardware Wallet production completion (the “Proposal”) in full. Mr. Devyatkin has repeatedly breached the commitments made in the Proposal and has failed to deliver any significant results.

In addition to recovering the Funding, this proposal demands the immediate transfer of all deliverables to the 1inch DAO’s repository and under its control, the cessation of all use of the 1inch brand by Mr. Devyatkin and the HW Team, and the publication of a comprehensive report detailing the current state of development. Such demands shall be enforced through engaging a Representative for further communication with Mr. Devyatkin.

We believe it is in the best interests of the 1inch DAO and Community to pursue these actions and continue the development of the 1inch Hardware Wallet independently, ensuring the integrity of the 1inch brand and the proper utilization of community resources.

Abstract

Under the Proposal, Mr. Devyatkin and the Hardware Wallet Team (“HW Team”) received the Funding “to complete the product trade version (PTV) of the 1inch Hardware Wallet”. The Proposal was voted “In favor” by the 1inch DAO as of June 12, 2023, when the Community had placed their trust in Mr. Devyatkin’s ability to deliver the Hardware Wallet.

In the Proposal, Mr. Devyatkin made multiple commitments, none of which have been completed. Among other, Mr. Devyatkin pledged to:

  • complete the Hardware Wallet production by reaching 7 Milestones, and make the product available for sales to the public ‘by the fourth quarter of 2023’.

  • ‘… complete the 1inch Hardware Wallet project, promising to utilize the grant prudently to ensure the product reaches the highest level of quality. This commitment extends from the software and hardware development phases through to the setup of manufacturing processes and the essential technical and security audits’ and ‘…ensur[e] that every dollar is spent towards delivering a top-quality product for the benefit of 1inch DAO and 1inch ecosystem.’

  • ‘…update the 1inch DAO on [the] progress through forum posts, Github and […] Telegram channel.’

Mr. Devyatkin has failed to adhere to each of the above mentioned commitments, exploiting the trust of the 1inch Community and breaching the binding agreement between Mr. Devyatkin and 1inch DAO effectuated through the Proposal. The details of the repeated breaches are provided below.

We suggest that the 1inch DAO vote to direct Mr. Devyatkin to refund the 2 million USD received as Funding, and comply with other demands listed below.

Motivation

The motivation behind this proposal is to:

  • recover the Funding and receive the Deliverables into DAO’s control, in order to be able to further utilize these resources for the development of the 1inch Hardware Wallet with a different team;

  • protect the reputation and credibility of 1inch brand, as a brand standing behind high quality products, made by invested and diligent contributors, maximizing the benefits for the community.

While the Hardware Wallet is a community project, it is important to recognize that 1inch Labs, as the main technical contributor to the 1inch DAO, has produced multiple proprietary deliverables that have been utilized by Alexei Devyatkin and his team in the Hardware Wallet’s development. These deliverables include, but are not limited to:
• Logo Design;
• Font Design;
• User Interface (UI) and User Experience (UX) Design;
• Graphic design for icons, illustrations, and other visuals;
• Marketing materials;
• Product and version of packaging design, including instructions;
• Main landing page and website development;
• Full test application for the protocol on both IOS and Android operating systems, including the source code.
• Data transferring protocol.

Specification

  1. Failure to meet the Milestones

The Milestones declared in the proposal have not been achieved and the product was not made available for sales ‘by the fourth quarter of 2023’. In the last report published by Mr. Devyatkin, the completion of the project has been postponed to the “first quarter of 2025”.

The update report provided by Mr. Devyatkin to the DAO in March 2024 acknowledges that 5 out of 7 Milestones have been postponed to 2024, and the 2 remaining ones have only been partially completed.

According to the updated report provided by Mr. Devyatkin in July 2024, none of the Milestones have been fully completed. The Product Validation Testing necessary for completion of the Product Trade Version (as a final goal of the Funding) has not yet started and cannot be completed before Design Validation Testing, which, as of now, has not even started since DVT devices have not been produced. Despite these poor results, Mr. Devyatkin continues to claim that the device will be ready for sales by the “first quarter of 2025”. The latest report provided in August 2024 has informed the community of some updates in terms of hardware developments, however, it appears that still none of the milestones have been fully completed. Mr. Devyatkin states that Design Validation Test is planned for September, while this step is included in Milestone 2, followed up by 5 more to be completed before the product can be launched.

We would like to draw the Community’s attention that although they have had 15 months, Mr. Devyatkin and HW Team have not managed to complete a single Milestone. We would like to invite the Community to assess whether the completion of all 7 Milestones, including full Design Validation Testing and Product Validation stages and manufacturing of the actual first batch, can realistically be achieved within six months.

  1. Failure to report to the Community

Mr. Devyatkin and HW Team have failed to duly report to the Community the delays in the delivery of the Milestones. Mr. Devyatkin did not publish any reports on the progress of the project until March 2024, when the product was supposed to be fully completed by the end of 2023. Mr. Devyatkin reported the delays three months after the promised date of completion, without consulting with the Community along the way, or reporting during the promised timeline, at the point when the inability to deliver became obvious, or in any other acceptable way honoring the commitments made to 1inch DAO.

Further, the report published in July 2024 and August 2024 only states further delays and incompletion of Milestones as a matter of fact without offering the Community any explanations whatsoever as to what caused these constant delays and lack of progress.

This inadequate reporting demonstrates Mr. Devyatkin’s lack of commitment to 1inch Community’s values and pledged transparency, accountability and respect towards 1inch brand.

  1. Poor Project and Financial Management

There is growing concern over Mr. Devyatkin’s handling of project funds and his ability to deliver on promised milestones. Despite receiving substantial financial resources, Mr. Devyatkin has failed to provide transparent reports regarding how much of the funding remains or how it has been allocated. The lack of progress on any of the seven promised milestones, coupled with repeated delays, calls into question his strategic decision-making and prioritization. Without any clear communication or accountability for the project’s expenditures, the Community is left in the dark about the financial health and direction of the project. This ongoing mismanagement threatens the project’s overall success and raises doubts about Mr. Devyatkin’s capability to fulfill his obligations as a project manager.

Conclusion of Breaches

Mr. Devyatkin’s mismanagement of the project constitutes a material breach of the Proposal, particularly impacting the benefits that the DAO was entitled to receive. Mr. Devyatkin’s failures significantly affect the Proposal’s expected outcomes, justifying termination and compensation of the full Funding amount. The key breaches are evidenced above and can be summarized as follows:

  • Failure to Meet Milestones: Not a single one of the seven promised milestones has been fully completed. Originally set for delivery by the fourth quarter of 2023, the project has been repeatedly delayed, with the current timeline pushed to the first quarter of 2025. This extensive delay fundamentally undermines the project’s goals and the DAO’s expectations.

  • Lack of Transparency: Mr. Devyatkin failed to provide timely and adequate progress reports to the community. Reports were only issued months after the expected completion date, without proper consultation or explanation. This lack of transparency violates the commitments made in the Proposal and erodes trust.

  • Mismanagement of Resources: Mr. Devyatkin has failed to provide transparency regarding the use of funds, leaving the Community in the dark about the budget and its allocation. Despite receiving significant resources, no milestones have been completed, and the project is severely delayed, raising concerns about his project management capabilities.

Given these significant breaches, the DAO is within its rights to terminate the Proposal and seek full compensation of the Funding for the damages incurred due to Mr. Devyatkin’s mismanagement and failure to deliver on his contractual obligations.

Suggested Course of Action

  1. Representation

Subject to the successful vote of this proposal, 1inch DAO should engage an external legal counsel or request 1inch Foundation or other contributors to represent 1inch DAO in any further communications with Mr. Devyatkin (“Representative”). The Representative shall present Mr. Devyatkin with the demands, voted for by 1inch DAO and further communicate with Mr. Devyatkin regarding the resolution of this issue. Should negotiations fail, the Representative shall take further legal action. The Representative shall regularly report to the 1inch DAO on the status of negotiations and the proposed resolution.

  1. Demands

To remedy the breach of the Agreement, Mr. Devyatkin and HW Team shall comply with the following demands.

(a). Compensation of the Funding. Mr. Devyatkin and HW Team shall return the full amount of the Funding constituting the equivalent of 2 million USD to 1inch DAO Treasury within 10 (ten) calendar days from the ending of the Snapshot vote for the proposal (if passed). In case Mr. Devyatkin and HW Team fail to return the full amount of the Funding as set forth herein, the Representative shall take necessary enforcement actions.

1inch DAO Treasury Wallet Address: 0x7951c7ef839e26F63DA87a42C9a87986507f1c07.

(b). Transfer of the deliverables. Within 15 (fifteen) calendar days from the ending of the Snapshot vote for the proposal (if passed), Mr. Devyatkin and HW Team shall transfer any and all deliverables produced by them under the Proposal and pertaining to 1inch Hardware Wallet to the 1inch Github Repository https://github.com/1inch/community, (“Repository”), including:

  • All the software developed by Mr. Devyatkin and the HW Team under the Proposal, any source code and documentation related thereto;

  • Test application for the protocol for IOS and Android operating systems, including the source code thereof, that Mr. Devyatkin and HW Team were provided access to;

  • Any other software, that Mr. Devyatkin and HW Team were provided access to;

  • All technical, assembling, engineering, certification, instructional and other similar documentation and materials related to the hardware of the Hardware Wallet, its production, manufacturing, product design, operation, etc;

  • Any other available documentation or materials that directly or indirectly concern the operation and/or production of the Hardware Wallet, or that have been named by Mr. Devyatkin in the reports published in March 2024 and July 2024, that Mr. Devyatkin and HW Team have access to.

By transferring the deliverables, Mr. Devyatkin and HW Team transfer any right, title an interest in such deliverables, and shall only have the possibility to further use the deliverables if 1inch DAO provides them with the permission in line with the general procedure described below in Section (c).

(c). License as Source-Available Project. As per the Proposal, Mr. Devyatkin has committed to open-source the hardware wallet project ‘to the extent that it does not harm 1inch DAO, the 1inch product, or the security of the hardware or software components’. Considering the incompleteness of the project, we believe it is in the best interests of the DAO to demand the publishing of the deliverables under the BUSL-1.1 source-available license. The Change License shall be GPLv3. The Change Date shall be in 15 years. The license shall include a clause for exceptions to the BUSL License, subject to the vote of the 1inch DAO. Such choice of the license ensures best commercial interests of the 1inch DAO, while publishing the code for the Community, providing ample opportunities for contribution with 1inch DAO’s consent.

(d). Cease and Desist from using 1inch Brand. In the interests of integrity of the 1inch brand, Mr. Devyatkin and the HW Team shall immediately cease and desist from using 1inch brand, its elements and trademarks (“1inch Brand”), including:

  • Do not use 1inch Brand in any form of public communication, including but not limited to marketing materials, advertisements, social media posts, and any other promotional content.

  • Terminate any direct or indirect mentions of any cooperation, partnership or affiliation whatsoever with the 1inch Brand in any public communications.

  • Terminate the use of the 1inch Brand in any social media handles, accounts, corporate or private email address and other equivalent mediums, including but not limited to changing the handles of the HW X account; HW LinkedIn account; HW Medium account; HW Github account; HW Discord account (“HW Socials”).

  • Terminate the use of 1inch Brand in the production, design, and development of the Hardware Wallet or any other products.

(e). Report. Within 15 (fifteen) calendar days from the ending of the Snapshot vote for the proposal (if passed), Mr. Devyatkin and the HW Team shall prepare a technically precise and extensive report that would explicitly describe: the purpose of each source code file, documentation, material, instruction or other item uploaded to the Repository, with respective links to the materials in the Repository. The report should also include the current stage of development and testing of each item. The report shall be posted in the Repository and/or on the forum of the 1inch DAO. The Report shall be sufficient to enable any person with required skill and knowledge to understand how the Hardware Wallet and its components can be produced, assembled and integrated (as per the current stage of development).

Final Words

We believe that the facts presented above sufficiently demonstrate the urgency of the need for the 1inch DAO to take decisive action against Mr. Devyatkin. The consistent failure to meet milestones, the lack of transparency, and the mismanagement of both resources and responsibilities have severely compromised the project’s success and the 1inch DAO’s interests. Mr. Devyatkin’s breaches have not only delayed the project but have also squandered the community’s trust and resources. Therefore, it is imperative that the 1inch DAO pursue the recovery of the full Funding amount and take control of the deliverables to ensure the project’s continuation under more capable management. This course of action is essential to protect the reputation and integrity of the 1inch brand and to fulfill the 1inch DAO’s value of delivering high-quality products to the Web-3 community.

Dear, community!

We want to emphasise our commitment to transparency and collaboration, ensuring that all progress related to the hardware wallet project has been consistently communicated. The HWLT team has worked diligently to meet project milestones, and all relevant updates are publicly available on our social media channels.

HWLT and I personally deny and have always denied any claims by 1inch related to delays and the lack of communication about the postponement of the product release. I personally, and the entire HWLT team, have consistently provided all work results publicly on social media and informed 1inch team members about the progress both orally and in writing.

HWLT and 1inch have been negotiating regarding 1inch’s unfounded claims for several months. Despite the clear evidence supporting HWLT’s position regarding the completed stages of the Proposal and HWLT’s readiness for product testing and market launch, 1inch continues to ignore the facts and insists on completely illogical demands. 1inch is demanding a full refund of the project funding and the transfer of all work results. 1inch was informed that at this stage, 90% of the Proposal work has been completed. The timeline adjustments for completing the Proposal were the result of joint decisions made by HWLT and 1inch throughout their collaboration, which expanded the scope of work related to the product release and also in accordance with the security lab’s report was recommended use more strong approach for security of the device with Secure Element and a more secure microcontroller and this affected to redesing hardware and software parts. The new scope of work essentially resulted in a 99% new device, as not only the design of the appearance of the device was completely changed, but also almost all of the electronic components. HWLT has provided 1inch with project progress reports, both orally and in writing, despite the absence of initial reporting criteria. In the fall of 2023, HWLT discussed the project status with 1inch representatives during an offline meeting, and 1inch could not have been unaware of the final deadline extension for completing the Proposal.

The HWLT team has confirmation that the final design and functionality of the device were agreed upon in March 2024, and by September 2024, the HWLT team had completed the DVT version of the device, demonstrating HWLT’s good faith in fulfilling its obligations.

HWLT confidently stands by its position that the company has done significant work toward realizing the Proposal, developing the product, and preparing it for sale. The HWLT team consists of dozens of people working daily toward a single goal—enhancing the community with a useful product. HWLT has never refused to make the product (both software and hardware) available for public use under an open license.

From a legal standpoint, HWLT has always adhered to the terms of agreements made with 1inch. Throughout the negotiations with 1inch, HWLT has proven its commitment to the agreed-upon arrangements. HWLT has also maintained transparency regarding financial reporting and grant spending, with all financial information concerning the project and grant being openly accessible to 1inch.

Below, you will find all our commitments for the DAO and the evidence demonstrating that the majority of the work outlined in the Proposal has been completed to date.

Comment on behalf of 1inch Labs

We would like to address the recent claims made regarding the development of the deliverables for the Hardware Wallet. The information in the comment is misleading.

In the comment, Alexei Devyatkin claims that “90% of the Proposal work has been completed.” However, Alexei later admits that out of the seven Milestones, only the first three have been completed. The remaining four Milestones undoubtedly comprise more than 10% of the initial scope of work under the Proposal and, in our opinion, are critical for the device’s launch.

Furthermore, out of the three completed Milestones, the majority of the work has been produced by 1inch Labs, contrary to the suggestion of Alexei Devyatkin. 1inch Labs has played a significant and indispensable role in producing the deliverables that have been critical to the current stage of the Hardware Wallet’s development.

  • Logo Design;
  • Font Design;
  • User Interface (UI) and User Experience (UX) Design;
  • Graphic design for icons, illustrations, and other visuals;
  • Marketing materials;
  • Product and version of packaging design, including instructions;
  • Main landing page and website development;
  • Full test application for the protocol on both IOS and Android operating systems, including the source code.
  • Data transferring protocol.

We invite the Community to review the latest report provided by Alexei Devyatkin and compare it with the deliverables listed above. The majority of the completed milestones have been assisted in development by 1inch Labs contributors.

Addressing Alexei’s comment specifically, the following items mentioned in his comment have been developed by 1inch Labs:

  • The design of the unicorn logo and custom fonts visible on all screenshots, device screens, device, NFC cards and packaging pictures attached by Alexei have been developed exclusively by 1inch Labs team;
  • The design of the Hardware Wallet device itself has been fully developed by 1inch Labs team;
  • Each of the “UI/UX screens” have been developed by 1inch Labs team, and even the screenshot attached by Alexei is from Figma account owned and produced by 1inch Labs team;
  • The screens of “Standard seed phrase backup and Seedless backup” attached by Alexei have been fully developed by 1inch Labs;
  • Regarding “1inch app test flight and flow, entity details”, as mentioned above, full test application for the protocol on both IOS and Android operating systems, as well as its integration has been developed by 1inch Labs.

Besides, 1inch Labs has reasons to believe that there may be concerns regarding the financial management of the Hardware Wallet project. It seems that some funds could have been allocated to areas not directly tied to the development of the hardware or software, which may be putting the project’s financial sustainability at risk. Furthermore, we believe that certain spending decisions have lacked transparency, raising questions about whether the project’s budget is being managed in line with the commitments made in the original Proposal.

1inch Labs fully supports the proposal and encourages the Community to carefully consider the significance of the 1inch Labs’ contribution into the project and the remaining achievements of Alexei and the Hardware Wallet team, when making a decision. We stand ready to provide any evidence necessary to substantiate the points made above.

1. Ownership Claims by 1inch Labs

1inch Labs claims ownership over a specific list of developments.

Despite 1inch’s involvement in the development process, the actual development was carried out by the HWLT team, which is evidenced by agreements with team members, assignments from HWLT for the development, and HWLT’s corresponding expenditures. 1inch’s involvement in the development was limited to its sole right to approve the external appearance of the device, its user interface, as well as additional materials, and tasks related to the integration of the device into the 1inch Crypto DeFi Wallet mobile application, as well as providing feedback for subsequent revisions.

HWLT has never denied that the following materials belong to 1inch Labs:

  • Logo design;
  • Font design;
  • User Interface (UI) and User Experience (UX) design;
  • Graphic design for icons, illustrations, and other visuals;
  • Marketing materials;
  • Product and version packaging design;
  • Main landing page and website development;
  • Full test application for the protocol on both iOS and Android operating systems, including the source code.

The following are exceptions:

  • Industrial design of the device;
  • Instructions;
  • Data transferring protocol.

The development of the device, in addition to the artifacts mentioned above, contains a significant amount of work related to the development of industrial design, mechanical design, R&D related to the search for technical solutions, software arcitecture design, software security designs, software development, user flows for User interface, product research and direct production, performed by the HWLT team, which is demonstrated by the provided results of progress in the development of the product as DVT samples and means that the results of the work described by 1inch labs as significant cannot and could not lead to achieving the current status of the project without the active participation of the HWLT team.
We do not dispute that the 1inch Labs team was involved in the approval process, quality control and provision of necessary materials that 1inch requested for inclusion in the development results and are immensely grateful for this joint involvement and synergy in creating a product of truly high quality, in accordance with 1inch Labs’ established standards and approaches to the development of any product. However, 1inch’s participation in these processes does not grant the right to claim full ownership of the development results and all of the listed items were directly developed and created by the HWLT team Neither the Proposal nor the signed agreements with 1inch labs contain terms regarding the transfer of the development results.
The right to control the quality of developments does not entitle 1inch to demand full transfer of these developments to 1inch.

2. Allegations of Misuse of the Grant

Regarding 1inch’s suspicions of misuse of the grant, HWLT has repeatedly asserted and firmly maintains that the grant funds were used solely for the purposes of fulfilling the Proposal, for the development of the Hardware Wallet, and bringing the device to market. Throughout the entire project period, 1inch has had access to HWLT’s financial information. To date, HWLT has not received specific information from 1inch detailing what constitutes their claim of grant misuse. As the recipient of the grant, HWLT has the right to allocate grant funds independently, provided that it adheres to the established purposes of the grant, in this case, the development of the Hardware Wallet and bringing the device to market. The grant funds are spent as necessary in accordance with the agreed terms of HWLT’s obligations to its contractors and suppliers, including to the HWLT team, which also includes C-level executives. In the absence of specific claims and any internal regulation on the use of grant funds on the part of 1inch, which should have initially been provided to HWLT for review, we consider 1inch’s allegations to be unsubstantiated. The only legitimate requirement regarding grant expenditures is the proper use of funds. HWLT fully complies with this requirement and has never engaged in improper use of the grant.

Additionally, we would like to highlight that the agreed-upon extension of the Proposal’s completion deadline and the absence of any claims against HWLT are confirmed by public statements. According to these statements, 1inch is satisfied with the progress of the project, which calls into question the current disputes and claims.

I, on behalf of the entire HWLT team, continue to express great respect for the business reputation of the 1inch brand, the entire team is aimed at completing the release of the final product for the 1inch community and is largely focused on providing the community with a truly high-quality product that meets all international standards. That is why the HWLT team makes every effort to ensure that the product is brought to perfection and receives all the necessary confirmation of the quality standards of certification centers and high security ratings from audit companies

looking at the matter objectively, I’m wondering whether 1inch labs was part of the given budget as it seems like it was involved quite substantively in the development process.

but it doesn’t cover the absurdity in the last reply of the founder of a hardware device. from the correspondence here 1inch labs is not claiming full ownership of all the development results from the hardware team. it’s indeed puzzling and concerning that it is raised in the first place. and on the subject of the misuse of the grant seems like the hardware team is almost one year behind the delivery commitment date. without saying a qualification of misuse fits here. the response “The grant funds are spent as necessary” is hilarious, complete failure to provide any evidence of proper fund allocation or address any concerns about financial transparency.

@Alexey Devyatkin The Hardware wallet

Dear Alexei,

We are writing this comment as a reminder. The Snapshot vote for the proposal concluded on October 5, 2024, at 6:05 PM, with the community voting in favor. We remind you and the HW Team of the next steps required as per the Proposal:

  1. Return of Funds
    Please return the full 2 million USD to the 1inch DAO Treasury by October 15, 2024. The Treasury wallet address is: 0x7951c7ef839e26F63DA87a42C9a87986507f1c07.

  2. Transfer of Deliverables
    By October 20, 2024, please transfer all deliverables related to the 1inch Hardware Wallet to the 1inch GitHub repository: https://github.com/1inch/community.
    This includes all software, source code, documentation, and any related materials. You can find the specifications in the full text of the Proposal. By completing this transfer, all rights and interests in these deliverables will be transferred to 1inch DAO. Please keep the community informed once the transfer is complete.

  3. License as Source-Available Project
    The Deliverables should be published under the BUSL-1.1 source-available license, transitioning to GPLv3 after 15 years. Kindly ensure that the licenses are correctly applied, as detailed in the Proposal.

  4. Report Submission
    By October 20, 2024, please provide a detailed technical report explaining the purpose and current status of each file, code, and document uploaded to the repository. The report should be posted in the repository and on the forum, and offer clear guidance on how the hardware wallet can be produced, assembled, and integrated.

We hope for your cooperation on the matter. Failure to meet the requirements and deadlines set in the Proposal will force 1inch DAO to take further enforcement action. We appreciate your attention to these matters and await your prompt communication.

Dear community,

We highly value the ongoing collaboration between HWLT and 1inch DAO, and we would like to discuss possible steps to address the current issues related to the hardware wallet project. We are committed to a constructive dialogue and are confident that we can reach a mutually beneficial solution.

  1. HWLT is actively continuing the development of the hardware wallet in accordance with the agreement. We view any unilateral termination of agreements as unlawful and without justification. All grant agreements remain in force, and we are determined to complete the project as per the approved timelines and terms.

  2. We are ready to provide the deliverables as they become available for review and approval by 1inch DAO. The previously revised timelines, which have been communicated, reflect the current progress of the project and have been publicly announced, which implies their acceptance by both parties.

  3. Upon completion of all work and approval by 1inch DAO, we plan to release the final deliverables under an open-source license, as originally agreed. We are confident that this will ensure transparency and benefit the community.

  4. We understand the importance of using grant funds responsibly and would like to emphasize that the funds have been used exclusively for the development of the hardware wallet. 1inch DAO has no grounds to demand the full return of the grant funds. The grant is allocated for its intended purpose—developing Hardware Wallet. As the primary development has been completed without substantial violations of our agreements (excluding the necessary adjustments to the project timelines), there are no grounds for the donor to claim a full refund. There are deliverables within the project that have been demonstrated to 1inch DAO. HWLT has provided progress reports on the work completed. The grant funds are being used in accordance with the purpose of the grant.

  5. To find an optimal solution and avoid further disputes, we propose two possible options:

Independent Sales with a Commission:
HWLT can start selling the devices independently, while paying a commission to 1inch DAO for the use of the brand . This will allow the product to reach the market faster and give the community access to it.

Sales through 1inch DAO at a Special Price: We are ready to offer the product to 1inch DAO at a special price, and the DAO can handle the sales independently, retaining all profits.

  1. We remain committed to further developing and supporting the hardware wallet project. As part of this commitment, we are ready to provide 1inch DAO with access to future version of the device with Bluetooth support, ensuring the long-term relevance of the product for users.

  2. To enhance transparency and strengthen trust, we propose to discuss a format for regular reporting that will allow 1inch DAO representatives to monitor the project’s progress and ensure that it is being carried out properly.

We sincerely hope that one of the proposed solutions will help us find a compromise and continue our productive collaboration. We are open to further discussions and ready at your convenience to discuss the details.

Thank you for your attention, and we look forward to your response.

Alexei, your comment appears completely out of context and disconnected from reality. The results of the vote clearly set out the community’s demands: return the funds and deliverables as required. The community has made its decision, and the relationship is terminated due to your inability to deliver the product with a delay of nearly a year and clear mismanagement. You have failed to address any points raised in the termination proposal, as well as missed all deadlines for compliance with termination demands, set by the community. These facts will be considered in any further legal action.

Dear @kylynka and community,

This is to formally introduce my legal counsel, Olga Efimenko https://gov.1inch.io/profile/id/159904, who will be representing me and Hardware Wallet (HWLT) in the matter on Termination of Relationship of 1inch with HWLT.

Please direct all future communications regarding this matter to Olga at olga.recht@gmail.com.
I appreciate your cooperation in this regard.

Regards,
Alexey Devyatkin
