**Summary:** _If you are a participant in the 1inch DAO’s Aqua Revenue Stream Incubator and your Aqua trading strategies execute on the Official Deployments (defined below), you do not need a separate Commercial Licence from Degensoft Ltd (“ **Degensoft** ”) for that activity under either the Degensoft Aqua Source Licence 1.1 or the Degensoft SwapVM Licence 1.1. This holds for as long as you remain active in the Incubator and continue to meet your revenue share and other obligations to the 1inch DAO. The basis for this position is set out below._ **1. BACKGROUND** **1.1** Aqua and SwapVM are each licensed by Degensoft: Aqua under the Degensoft [Aqua Source Licence 1.1](https://github.com/1inch/aqua/blob/main/LICENSES/Aqua-Source-1.1.txt) and SwapVM under the Degensoft [SwapVM Licence 1.1](https://github.com/1inch/swap-vm/blob/main/LICENSES/SwapVM-1.1.txt) (together, the “ **Licences** ”). Each Licence requires a Commercial Licence from Degensoft where the Commercial Triggers in its Section 5.2 are met. **1.2** [1IP-102](https://snapshot.org/#/s:1inch.eth/proposal/0xa47cfddcecf942feb1910eddfb21d0c9b5bc8e87b5511526b4de64ec37673e87) confirmed that the 1inch DAO holds an irrevocable operational right to deploy and operate Aqua and SwapVM across any blockchain network. As part of 1IP-102, Degensoft committed to publishing a formal statement clarifying the licence position of Incubator participants. This is that statement. The Aqua and SwapVM contracts deployed by Degensoft as DAO-authorised deployments under that operational right, at the contract addresses published at Aqua: `0x1111113ccf1426a8e30e2bff5e005d929bf6a90a` & SwapVM: `0x111111338c5091e8440b67b168bae16a668ac0de` are referred to in this statement as the “Official Deployments”. 1.3 The Aqua Revenue Stream Incubator (the “ **Incubator** ”) was established by the 1inch DAO under [1IP-93](https://snapshot.org/#/s:1inch.eth/proposal/0xb20f8e93aafe79257438a1665013be0ab41402aeeda0dad3c0dd802c5fa908c3). Incubator participants build Aqua trading strategies that execute on the Official Deployments. **2. POSITION** **2.1** Incubator participants’ strategies execute on the Official Deployments. Participants are not running their own independent deployment of the Aqua or SwapVM codebase. A participant that compiles and deploys its own instance of Aqua or SwapVM, whether or not it is functionally identical to the Official Deployments, is not covered by this statement in respect of that instance. **2.2** On that basis, participants’ activity in the Incubator falls within the 1inch DAO’s authorised use of Aqua and SwapVM under its operational right. It does not independently trigger a Commercial Licence requirement under either Licence: Charged Fees and Liquidity Under Control attributable to that activity do not count toward the Commercial Triggers in Section 5.2 of either Licence for the purposes of any Commercial Licence obligation of that participant to Degensoft. Participants therefore do not require a separate Commercial Licence from Degensoft for that activity. **2.3** This applies regardless of the interface or front-end through which the contracts are accessed. Whether order flow reaches a participant’s strategy through the 1inch dApp, the participant’s own front-end, a third-party aggregator or a direct contract call makes no difference; what matters is that the underlying contracts are the Official Deployments. This statement addresses the execution of Incubator strategies on the Official Deployments; a participant’s operation of its own public interface, or any other service it offers, remains subject to the general terms of the Licences. **3. CONDITIONS** **3.1** The position in Section 2 applies to a participant for as long as both of the following conditions are met: (a) the participant remains active in the Incubator and has not been removed from, or withdrawn from, the Incubator; and (b) the participant continues to meet its revenue share and other obligations to the 1inch DAO. **3.2** Both conditions must be met. Whether a participant remains active in the Incubator, and what its obligations to the 1inch DAO are, is governed by the Incubator’s terms as approved by the 1inch DAO (including any cure period those terms provide), not by this statement. **4. DURATION** **4.1** Because the 1inch DAO’s operational right is irrevocable, this confirmation is not time-limited and does not depend on any further action by Degensoft. It applies under any later version of the Licences for as long as the operational right confirmed in 1IP-102 continues. It continues in respect of each participant for as long as both conditions in Section 3 are met. **4.2** If a participant ceases to meet either condition, whether because the participant withdraws or is removed from the Incubator or because the Incubator concludes, the general terms of the Licences apply to that participant’s use of Aqua and SwapVM from that point. Use during the period in which both conditions were met is not affected. **5. SCOPE** **5.1** This statement addresses the Commercial Licence requirement under the Licences only. It does not alter any other term of either Licence, and it does not alter, limit or replace any revenue share or other obligation a participant owes to the 1inch DAO under the Incubator’s terms. Incubator participants may rely on this statement. Nothing in it waives any right of Degensoft under the Licences beyond what Section 2 expressly states. **6.
